Partner / Reseller Agreement

This Partner / Reseller Agreement ("Agreement") governs your access to and use of the GuestConnect platform ("Platform") operated by Guest Connect Networks ("Company", "we", "us") in the capacity of a Partner/Reseller. By ticking "I Accept" or otherwise accessing the Partner Panel, you agree to be bound by this Agreement.

1. Definitions

  • "Partner" means a person or entity onboarded with role-level access to resell, provision, and manage guest WiFi billing services for Tenants under this Platform.
  • "Tenant" means an end business (hotel, café, ISP, campus, etc.) onboarded and managed by a Partner.
  • "Hotspot User" / "Guest" means an individual end-user who connects to WiFi through infrastructure managed under a Partner's or Tenant's account.
  • "Commission" means the revenue share payable to the Partner as configured in the Platform's Commissions module.
  • "Applicable Law" includes the Information Technology Act, 2000 and rules made thereunder (including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021), the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the Indian Contract Act, 1872, the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, applicable licensing conditions issued by the Department of Telecommunications ("DoT") and directions of the Telecom Regulatory Authority of India ("TRAI") governing public WiFi access points, and directions issued by the Indian Computer Emergency Response Team ("CERT-In").

2. Eligibility & Onboarding

You represent that you are at least 18 years of age, possess the legal authority to enter into this Agreement on behalf of yourself or the entity you represent, and that all KYC, business registration, GSTIN, and bank/payout details furnished during onboarding are true, current, and complete. The Company may independently verify these details and suspend access pending verification.

3. Scope of the Partner Relationship

This Agreement creates a principal-to-principal reseller relationship. Nothing herein constitutes a partnership, joint venture, agency, franchise, or employment relationship between you and the Company. You act as an independent reseller and are solely responsible for your relationship, contracts, invoicing, and support commitments with your onboarded Tenants, except where the Platform's billing is processed centrally by the Company.

You may onboard, configure, suspend, and manage Tenants and their routers within the scope of permissions granted to your Partner role, subject to the license/router quotas assigned to your account.

4. Fees, Commission & Billing

Commission is calculated and credited as per the rates and cycle configured in your Partner Panel's Commissions module, which forms part of this Agreement by reference and may be revised by the Company with prior notice through the Panel. Payouts are subject to successful settlement of the underlying Tenant payment (via the Company's integrated payment processor) and reversal of Commission already paid may occur on chargebacks, refunds, or fraud.

All invoicing must comply with applicable GST law. You are solely responsible for your own tax registration, collection, and remittance obligations arising from your reseller activity, and the Company is not liable for your tax compliance.

5. Regulatory Compliance — TRAI / DoT Public WiFi Obligations

Public WiFi access in India is subject to subscriber identification and log-retention norms under DoT licensing conditions and CERT-In directions. As a Partner, you agree to:

  • Ensure every Tenant you onboard is informed of, and contractually bound to, the identical KYC/logging obligations set out in the Tenant Admin Agreement (terms-tenant-admin.php);
  • Never disable, circumvent, or instruct a Tenant to disable the Platform's mandatory session-logging (guest phone/MAC/IP/session timestamps) used for regulatory compliance;
  • Cooperate with the Company and law-enforcement/regulatory requests for session logs relating to Tenants under your account, within the timelines prescribed by CERT-In directions (currently a minimum 180-day log retention window) or Applicable Law.

6. Data Protection (DPDP Act, 2023)

Where you process personal data of Tenants or Hotspot Users on behalf of the Company or a Tenant (e.g., contact details collected during onboarding, guest phone numbers visible in dashboards), you act as a Data Processor and the Tenant/Company as Data Fiduciary for the purposes of the DPDP Act, 2023. You agree to:

  • Process personal data strictly for the purpose of providing the Platform's services and not for any independent commercial purpose (e.g., marketing to guests without consent);
  • Implement reasonable security safeguards against unauthorised access, disclosure, or loss of personal data within your control;
  • Promptly notify the Company of any personal data breach you become aware of, so the Company can meet its own breach-notification obligations to the Data Protection Board of India and affected Data Principals;
  • Not retain personal data longer than necessary for the purpose for which it was collected, except where retention is separately mandated by TRAI/DoT/CERT-In compliance logging above.

7. Acceptable Use

You shall not: (a) use the Platform to violate any Applicable Law; (b) misrepresent Commission structures or Platform capabilities to Tenants; (c) attempt to access data, routers, or accounts outside your assigned scope; (d) reverse-engineer, scrape, or resell API access to the Platform without written authorisation; (e) onboard a Tenant whose intended use of guest WiFi is unlawful (e.g., facilitating access without any identity verification where mandated).

8. Intellectual Property & Confidentiality

The Platform, its software, branding, and documentation remain the exclusive property of the Company. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Partner Panel solely for the purposes of this Agreement. You shall keep confidential any non-public information about the Platform's architecture, pricing, or Tenant data, and shall not disclose it to third parties except as required by law.

9. Warranties & Disclaimers

The Platform is provided on an "as is" and "as available" basis. Except as expressly stated, the Company disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by Applicable Law. The Company does not guarantee uninterrupted or error-free operation of routers, payment gateways, or third-party network infrastructure.

10. Limitation of Liability

To the maximum extent permitted by law, the Company's aggregate liability arising out of or relating to this Agreement shall not exceed the Commission actually paid to you in the three (3) months preceding the event giving rise to the claim. The Company shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or business opportunity.

11. Indemnification

You agree to indemnify and hold harmless the Company, its officers, and employees from any claim, loss, or liability arising out of: (a) your breach of this Agreement; (b) your violation of Applicable Law; (c) your relationship with, or representations made to, a Tenant; or (d) any content or conduct you are responsible for on the Platform.

12. Suspension & Termination

The Company may suspend or terminate your Partner access, with or without notice, for breach of this Agreement, non-payment, regulatory non-compliance, fraud, or misuse. You may terminate this Agreement by written notice; outstanding Commission obligations and confidentiality obligations survive termination.

13. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, grievances relating to this Agreement or the Platform may be addressed to the Grievance Officer at lhbsram@gmail.com or 9030716651. We aim to acknowledge grievances within 24 hours and resolve them within 15 days as prescribed under the Rules.

14. Governing Law & Dispute Resolution

This Agreement is governed by the laws of India. Any dispute shall first be attempted to be resolved amicably; failing which, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by the Company, seated in India, in English. Subject to the arbitration clause, the courts at the Company's registered place of business shall have exclusive jurisdiction.

15. Amendments

The Company may revise this Agreement from time to time. Material changes will be notified through the Partner Panel and require re-acceptance before continued use. Continued use after the effective date of an update constitutes acceptance of the revised terms.

16. Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions continue in full force. Neither party shall be liable for delay or failure to perform due to causes beyond reasonable control (force majeure). This Agreement, together with the Commissions configuration referenced in Clause 4, constitutes the entire agreement between you and the Company regarding your Partner relationship.
