Tenant Administrator Agreement

This Tenant Administrator Agreement ("Agreement") governs use of the GuestConnect platform ("Platform") by a Tenant business owner/administrator ("you", "Tenant Admin") — typically the operator of a hotel, café, campus, office, or similar premises offering guest WiFi. By ticking "I Accept" you agree to be bound by this Agreement.

1. Definitions

Capitalised terms not defined here have the meaning given in the Partner / Reseller Agreement. "Applicable Law" includes the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Digital Personal Data Protection Act, 2023, applicable Department of Telecommunications ("DoT") licensing/public-WiFi conditions, Telecom Regulatory Authority of India ("TRAI") directions, and CERT-In directions on cybersecurity incident reporting and log retention.

2. Your Role & Responsibility as the Premises Operator

You are the operator of the physical premises and/or router(s) through which Hotspot Users ("Guests") access WiFi. Under Indian telecom regulation, the operator of a public WiFi access point is responsible for ensuring subscriber identification before granting internet access. You acknowledge and agree that:

  • Every Guest connecting through your router(s) must be verified via one of the Platform's supported identification methods (OTP-based mobile verification, voucher issued after identity capture, or a Company-vetted alternative) before being granted network access;
  • You must not disable, bypass, or configure the Platform to grant "no-verification" access in a manner inconsistent with applicable DoT/TRAI public-WiFi identification norms;
  • Session logs (Guest phone number/MAC address/IP address/timestamps) generated by the Platform are retained to meet regulatory log-retention requirements (including CERT-In's minimum 180-day retention direction) and must not be deleted or tampered with by you;
  • You will cooperate with law-enforcement and regulatory requests routed to you or the Company concerning sessions on your router(s).

3. Account, Billing & Subscription

Your subscription plan (router quota, feature tier) and billing cycle are as selected/invoiced at signup or by your Partner. Fees are exclusive of applicable GST unless stated otherwise. Non-payment may result in suspension of hotspot services after the notice period stated in your billing dashboard. Refunds, where applicable, follow the Company's refund policy displayed at checkout/in the billing dashboard at the time of purchase; subscription fees are otherwise non-refundable for the period already availed.

4. Acceptable Use of the Dashboard

You shall use the Tenant dashboard only for lawful management of your own guest WiFi service, including package/pricing configuration, voucher generation, router management, and viewing your own Guests' session data. You shall not: (a) access or attempt to access data belonging to other tenants; (b) use guest contact data (phone numbers) for unsolicited marketing without independent, lawful consent under the DPDP Act and the Telecom Commercial Communications Customer Preference Regulations (TRAI's "DND" framework); (c) misuse the platform to distribute unlawful content or facilitate offences under the Information Technology Act, 2000.

5. Device & Network Security

You are responsible for the physical and network security of routers registered to your account, including keeping router firmware updated, protecting administrative credentials, and promptly reporting a lost/stolen/compromised router to the Company so it can be de-provisioned. The Company is not liable for losses arising from your failure to secure physical access to hardware under your control.

6. Data Protection (DPDP Act, 2023)

As between you and your Guests, you are a Data Fiduciary in respect of the personal data (e.g., phone number) a Guest provides to access your WiFi, and the Company processes that data as your Data Processor via the Platform. You agree to: (a) only collect Guest data necessary for connectivity and regulatory identification purposes; (b) provide Guests a clear notice of collection (the Platform's captive portal displays this via the linked Hotspot User Terms); (c) not sell or transfer Guest personal data to third parties outside the Platform without lawful basis; (d) promptly notify the Company of any suspected breach affecting your Guests' data.

7. Service Levels & Disclaimers

The Company will use commercially reasonable efforts to keep the Platform available, but does not guarantee uninterrupted service, particularly where interruptions arise from your internet/router hardware, third-party payment gateways, or events outside the Company's reasonable control. The Platform is provided "as is" without warranty of merchantability or fitness for a particular purpose beyond what is expressly stated in your subscription plan.

8. Limitation of Liability & Indemnification

To the maximum extent permitted by law, the Company's aggregate liability to you shall not exceed the subscription fees paid by you in the three (3) months preceding the claim. You agree to indemnify the Company against claims arising from your failure to identify/KYC Guests as required, your misuse of Guest data, or your breach of Applicable Law or this Agreement.

9. Data Retention & Guest Records

Guest session logs are retained on the Platform for the period required by Applicable Law (subject to Clause 2). You may request export of your own Tenant-scoped records through the dashboard or by contacting support, subject to identity verification.

10. Termination

The Company may suspend or terminate your access for breach of this Agreement, non-payment, or regulatory non-compliance (including failure to enforce Guest identification). You may close your account at any time from account settings or by contacting support; certain records may be retained post-closure solely to meet regulatory retention obligations under Clause 2.

11. Grievance Redressal

Grievances may be raised with the Grievance Officer at lhbsram@gmail.com or 9030716651, in line with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 — acknowledgement within 24 hours, resolution within 15 days.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of India. Disputes will first be attempted to be resolved amicably, failing which they shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in India. Subject to the arbitration clause, courts at the Company's registered place of business shall have exclusive jurisdiction.

13. Amendments

This Agreement may be updated from time to time; material changes require re-acceptance in the dashboard before continued use, and the version/date at the top of this page reflects the currently effective terms.
